The wind-down, in OpenAI's own words
OpenAI published the decision as a short company post. The key paragraph:
"Today, we notified SpaceX that we intend to wind down our contract providing OpenAI models to Cursor, with a proposed shutoff date of November 12, 2026. To maximize the time that developers can retain access to our models through Cursor, we are giving the maximum notice provided by our contract. This decision was incredibly tough, as we care deeply about our models being broadly available for developers. We are making this choice because we cannot be confident that SpaceX will use our technology within our terms of service, based on our experience with Elon Musk's companies violating contracts."
The mechanics matter as much as the message. OpenAI says its custom agreement with Cursor includes "a limited time window to cancel it after a change of control." SpaceX's all-stock offer for Anysphere was reported on June 16; the deal closed on August 14, with TechCrunch confirming completion the next day; the notice followed two weeks later, inside the window. OpenAI also says it will not provide future models to Cursor, including its upcoming Astra, and it cites "a new level of accountability" around Astra's safety, linking to its post on frontier cyber capabilities.

The stated reason is partly checkable
OpenAI's rationale rests on two documented incidents. After Musk acquired Twitter — which OpenAI notes is "now part of SpaceX" — the company broke the terms of its OpenAI contract, alongside many others; the New York Times reported this on April 27, 2023. Earlier this year, under oath, Musk admitted that xAI — also now part of SpaceX — had distilled OpenAI data to train its models, violating terms OpenAI describes as similar to xAI's own; Forbes reported that on April 30, 2026. They are exactly the conduct that would make any supplier nervous about future compliance.
What is not checkable is the central claim. "We cannot be confident that SpaceX will use our technology within our terms of service" is a forecast about future behavior, not an accusation of a current violation. OpenAI does not claim Cursor or SpaceX has broken anything — Business Insider noted the statement accuses nobody of a live breach, and both cited incidents predate the acquisition. The framing is deliberate: a risk assessment is easier to defend than a charge, and it lets OpenAI frame a commercial divorce as a safety decision.
The business logic the statement leaves out
Read as a contract decision, the move is clean. Read as a business decision, it does several things at once — and safety is not necessarily the largest. OpenAI has spent the past year pushing its own coding surface — Codex and its agentic coding products — into the same seats Cursor occupies. Until two weeks ago, Cursor was one of the most effective distribution channels for OpenAI models anywhere. Under SpaceX, that channel now feeds a rival stack: xAI's Grok, xAI's compute, xAI's model program. Keeping the tap open would mean subsidizing a competitor's coding ecosystem with OpenAI's own models.
The Astra framing deserves scrutiny for the same reason. OpenAI cites "a new level of accountability" around its upcoming model and links to its cyber-capabilities post. That is a real consideration — but it arrives precisely when the change-of-control window opens, and it is not independently verifiable. The alignment of a safety principle with a commercial exit is worth naming — not as dishonesty, but because it makes the decision overdetermined: OpenAI would likely want out of this deal for competitive reasons even if Musk's record were clean.
What Cursor does next
Cursor's response came fast, from the person best placed to make it. Michael Truell, Cursor co-founder and now a SpaceX executive, said on X that OpenAI models serve about 5 percent of Cursor's user traffic and that his team is "speaking with the OpenAI team to resolve this." The number does real work: it tells users the change is survivable, tells OpenAI its leverage is limited, tells the market Cursor's model strategy was already diversifying. Reports from the acquisition period support that: Cursor has been pushing Grok integration, runs an internal model program, and was still acquiring days before close, announcing the Firetiger team — an agentic production-observability startup — was joining.
The figure cuts both ways. If OpenAI models are a small slice of Cursor's traffic, the practical disruption is modest — but the users who lose their preferred models by November 12 are real, and they are the ones the two companies now compete to serve. Its realistic suppliers: Anthropic's Claude line, already a Cursor staple; Google's Gemini; xAI's Grok; and the open-weight families from Qwen, Llama and DeepSeek. SpaceX's stated plan — build the computing capacity, keep the Cursor name — supplies the infrastructure, and Cursor has touted access to what it calls the world's largest GPU fleet. The likeliest outcome is a lineup with more Grok and more open weights, which is a different product than the one that made Cursor famous.
The larger signal is structural. Model supply for developer tools is concentrated in a handful of labs, and this week proved access can be withdrawn on a change-of-control clause — a legal detail, not a technical one. Any coding tool that depends on a rival lab's models now knows its contract can be read the same way. Developers who bet their workflow on one supplier's models are exposed to that politics; the rational response is what Reddit is already doing — comparing editors, checking model portability, preparing to move. The November 12 question
Neither SpaceX nor xAI has issued a formal statement as of writing; Truell's X post is the only on-record reaction, and his talks with OpenAI may yet produce a resolution. OpenAI says it is "ready to go above and beyond" to support affected developers — which, translated, means its own coding products are the obvious landing spot for users who want to keep using its models after the cutoff.
The date is the real news: it forces a decision out of every party. Cursor must renegotiate, find replacements for the models its users rely on, or accept that its flagship positioning shifts. Other suppliers must decide whether to copy the playbook. And developers who depend on OpenAI models inside Cursor have roughly ten weeks to pick a new default — or to accept that in AI coding tools, the model you use is now a political choice as much as a technical one.
